1. Acceptance of Terms

Welcome to ShinAI (“we,” “us,” or “our”). By accessing or using our website, products, or services (collectively, the “Services”), you (“user,” “you,” or “your”) agree to be bound by these Terms & Conditions. If you do not agree with any part of these Terms & Conditions, you must not use our Services.

These Terms also incorporate our Privacy Policy by reference. Please read both documents carefully before using our Services.

2. Eligibility

You represent and warrant that you have the legal capacity to enter into this agreement. If you are using the Services on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms & Conditions.

3. Modifications to Terms

  • Right to Modify: We reserve the right, at our sole discretion, to change, modify, add, or remove portions of these Terms & Conditions at any time. Any changes will be posted on our website or otherwise communicated to you.
  • Continued Use: Your continued use of the Services following the posting of changes constitutes your acceptance of such changes. It is your responsibility to review these Terms periodically for updates.

4. Description of Services

ShinAI provides artificial intelligence software and related services, including but not limited to:

  • 3D Acquisition (Photo/Video)
  • 4D Volumetric Video
  • Realistic Conversational Avatars
  • Knowledge-Based Expert Systems
  • Recommendation & Decision Support Systems

We may, at our sole discretion, limit or terminate the availability of any part of the Services at any time, for any reason, without notice or liability.

5. Use of Services

  • License Grant: Subject to these Terms, ShinAI grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your internal business or personal purposes.
  • Prohibited Conduct: You agree not to:
    • Violate any applicable laws or regulations (including French law and EU regulations).
    • Reverse-engineer, decompile, disassemble, or attempt to derive the source code of any software provided through the Services.
    • Interfere with, disrupt, or attempt to gain unauthorized access to other users' accounts or related systems or networks.
    • Upload, post, or transmit any malicious code, viruses, or harmful content.
    • Use the Services in a manner that infringes the rights of any other party.
  • Account Security: You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account.

6. Intellectual Property Rights

  • ShinAI Ownership: All content, trademarks, service marks, trade names, logos, domain names, and other intellectual property associated with the Services (“ShinAI IP”) are the exclusive property of ShinAI or its licensors. Nothing in these Terms grants you any ownership or license rights in or to the ShinAI IP, except for the limited use rights expressly stated.
  • User Feedback: If you provide suggestions, ideas, or other feedback to ShinAI concerning the Services (“Feedback”), you hereby grant ShinAI a worldwide, perpetual, irrevocable, royalty-free, transferable license to use and incorporate such Feedback in the Services without any obligation to compensate you.

7. Fees and Payment

  • Pricing: Certain Services may be offered for a fee. If applicable, you agree to pay all fees or charges to your account in accordance with the fees, charges, and billing terms in effect at the time a fee or charge is due and payable.
  • Payment Methods: You must provide a valid payment method to pay for any paid Services. By providing ShinAI with your payment information, you represent that you are authorized to use the payment instrument.
  • Refunds: All sales are final unless otherwise specified. Refunds, if any, will be provided solely at ShinAI's discretion.

8. Confidentiality

  • Confidential Information: Any non-public information disclosed by ShinAI that is designated as confidential (or that should reasonably be understood as confidential by the nature of the information or circumstances of disclosure) is considered “Confidential Information.”
  • Obligations: You agree to protect ShinAI's Confidential Information using at least the degree of care you use to protect your own confidential information and no less than a reasonable degree of care. You may not disclose ShinAI's Confidential Information to any third party without ShinAI's prior written consent.

9. Warranties and Disclaimers

  • No Warranties: TO THE MAXIMUM EXTENT PERMITTED BY LAW, SHINAI PROVIDES THE SERVICES “AS IS” AND “AS AVAILABLE,” WITHOUT ANY WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING, BUT NOT LIMITED TO, WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
  • Accuracy of Information: While ShinAI strives to provide accurate and up-to-date AI solutions, we do not warrant or guarantee the completeness, reliability, or accuracy of any content or results generated by our Services.
  • Third-Party Services: ShinAI may integrate with or rely on third-party services or content. We do not endorse, warrant, or assume liability for these third-party services or content.

10. Limitation of Liability

  • Exclusion of Certain Damages: TO THE MAXIMUM EXTENT PERMITTED BY LAW, SHINAI SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOST PROFITS, REVENUE, GOODWILL, USE, OR DATA, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
  • Cap on Liability: TO THE MAXIMUM EXTENT PERMITTED BY LAW, SHINAI'S TOTAL CUMULATIVE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE USE OR INABILITY TO USE THE SERVICES SHALL NOT EXCEED THE AMOUNT YOU HAVE PAID TO SHINAI IN THE LAST TWELVE (12) MONTHS OR ONE HUNDRED EUROS (€100), WHICHEVER IS GREATER.

11. Indemnification

You agree to defend, indemnify, and hold harmless ShinAI, its affiliates, officers, agents, employees, and partners from and against any and all claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with your use of the Services, violation of these Terms, or infringement by you or any third party using your account of any intellectual property or other right of any person or entity.

12. Termination

  • Termination Rights: We may terminate or suspend your access to the Services, in whole or in part, at any time and for any reason without prior notice or liability, including if you breach these Terms.
  • Effect of Termination: Upon termination, all licenses and rights granted to you in these Terms shall immediately cease. You remain liable for all obligations incurred prior to termination.

13. Governing Law and Dispute Resolution

  • Governing Law: These Terms and any claim or dispute arising out of or in connection with them shall be governed by and construed in accordance with the laws of France, without regard to its conflict of law principles.
  • Dispute Resolution: Any dispute arising out of or relating to these Terms or the Services shall be resolved exclusively by the competent courts of Paris, France, unless otherwise required by mandatory consumer protection laws.
  • Class Action Waiver: You agree to resolve any disputes on an individual basis. Class actions and class arbitrations are not permitted.

14. Miscellaneous

  • Severability: If any provision of these Terms is found to be invalid or unenforceable, that provision shall be deemed severed and the remaining provisions shall remain in full force and effect.
  • Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and ShinAI regarding your use of the Services and supersede all prior agreements.
  • No Waiver: Our failure to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision.
  • Assignment: We may assign or transfer our rights and obligations under these Terms without restriction. You may not assign or transfer any rights or obligations under these Terms without our prior written consent.
